It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. By accepting a quote, the Client is deemed to have satisfied themselves as to the terms and have accepted these terms and conditions in full. Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.
SQDD Solution will provide the Client with opportunities to review the appearance and content of the website during the design phase and once the overall development is completed. Materials will be deemed accepted unless the Client notifies SQDD Solution otherwise within ten (10) days of the materials being made available.
3. Turnaround Time and Content Control
SQDD Solution will install and publicly post or supply the Client’s website by the date specified in the plan of action sent via email and visible in the Client’s portal, unless a delay is specifically requested by the Client and agreed by SQDD Solution.
The Client agrees to delegate a single individual as a primary contact to aid SQDD Solutionin progressing the commission in a satisfactory and expedient manner. During the project, SQDD Solution will require the Client to provide website content such as text, images, movies, and sound files.
4. Failure to Provide Required Website Content
SQDD Solution must ensure that scheduled work is carried out efficiently. If the Client fails to provide the required information one (1) week prior to the project completion date, SQDD Solution reserves the right to close the project, and the balance remaining becomes payable immediately.
5. Additional Expenses
The Client agrees to reimburse SQDD Solution for any additional expenses necessary for the completion of the work, such as special fonts, stock photography, or plugins. Payment for these materials is required before purchase.
6. Web Browsers
SQDD Solution designs websites to work with the most popular current browsers (e.g., Firefox, Safari, Google Chrome). SQDD Solution cannot guarantee functionality with all browser software across different operating systems and reserves the right to quote for any work required to update the website for new browser versions. We like many other web development agencies do not cover or code for Internet Explorer as this has not been support by Microsoft since 2022.
7. Indemnity
All SQDD Solution services may be used for lawful purposes only. The Client agrees to indemnify and hold SQDD Solution harmless from any claims resulting from their use of our service that damages the Client or any other party.
8. Copyright
The Client retains the copyright to data, files, and graphic logos provided by the Client and grants SQDD Solution the rights to publish and use such material. The Client must obtain permission and rights for any third-party copyrighted materials used. The Client agrees to indemnify and hold SQDD Solution harmless from any claims resulting from the Client’s negligence or inability to obtain proper copyright permissions.
9. Standard Media Delivery
Unless specified otherwise, this agreement assumes that text will be provided by the Client in electronic format and all photographs and graphics in .gif, .jpeg, .png, or .tiff format. SQDD Solution will make reasonable attempts to return any materials provided but cannot guarantee their return.
10. Access Requirements
If the Client’s website is to be installed on a third-party server, SQDD Solution must be granted temporary read/write access to the Client’s storage directories via FTP. Additional resources may need to be configured on the server, depending on the project.
11. Post-Placement Alterations
SQDD Solution cannot accept responsibility for any third-party alterations to the Client’s pages once installed. This includes additions, modifications, or deletions.
12. Domain Names
SQDD Solution can purchase domain names on behalf of the Client. Payment and renewal of those domain names is the responsibility of SQDD Solution. SQDD Solution is not responsible for loss or cancellation due to non-payment by the Client. The Client should keep records of payment due dates.
13. General
These Terms and Conditions supersede all previous representations, understandings, or agreements. The Client’s acceptance via email, text, or payment of an advance fee constitutes agreement to these Terms and Conditions.
